By accessing or using the Website located at https://www.emanualonline.com (the “Website”) and any associated digital services, downloads, listings, or marketplace functionality (collectively, the “Services”), you (“You”, “User”, “Buyer”, or “Seller”) agree to be bound by these Terms & Conditions (“Terms”, “Agreement”). If You do not agree to these Terms, You must not use the Services.


eManualOnline.com (“eManualOnline”, “we”, “us”, or “our”) reserves the right to modify these Terms at any time, at our sole discretion. All changes become effective immediately upon posting. Your continued use of the Website constitutes acceptance of the revised Terms.


1. The Services


eManualOnline operates as a digital marketplace and online service provider (OSP) allowing independent third-party contributors (“Sellers”, “Contributors”) to upload and make available digital files including, but not limited to, service manuals, repair documentation, instruction PDFs, and technical data (“User Content”).


You acknowledge and agree that:

  • eManualOnline is not the publisher, author, or creator of User Content
  • All uploads originate from independent third-party Sellers
  • Sellers, not eManualOnline, are exclusively responsible for the legality, accuracy, licensing, and ownership of their uploads
  • We do not pre-screen, verify, edit, or moderate User Content before listing
  • Any copyright-protected, improper, or infringing content is incidental to platform operation and not part of our business model
  • We act as a neutral digital intermediary, providing hosting, payment collection, and buyer access tools

We may remove, block, restrict, or delete User Content at any time, with or without notice, including for DMCA compliance, seller breach, or quality issues.


2. Eligibility & Account Requirements


To use the Services, You must:

  • Be at least 18 years of age and capable of entering a binding legal contract
  • Provide accurate registration information
  • Maintain security of your login credentials
  • Not share, license, resell, or transfer access to your account

You accept full responsibility for all activity under your account.


We may suspend or terminate accounts at our discretion, including for:

  • copyright complaints
  • chargeback abuse
  • fraudulent activity
  • scraping or mass-downloading
  • violation of these Terms

3. Buyer Terms & Access Rights


When You purchase a digital product, You receive a limited, non-exclusive, personal-use license to access and download that specific item. You do not acquire copyright ownership or resale rights.


You agree that You may not:

  • redistribute, republish, upload, or share purchased content publicly
  • resell or commercially exploit content
  • claim authorship, ownership, or licensing rights
  • extract, scrape, or mass-download files through automated means

You acknowledge and agree:

  • Digital products are delivered instantly after purchase
  • You must download files promptly after purchase
  • Future availability for re-download is not guaranteed indefinitely
  • We may impose download limits, bandwidth limits, or paid re-access fees

Prices may change at any time without notice.


4. Seller / Contributor Terms


The Contributor represents and warrants that they are the lawful owner or authorized licensee of all manuals, documents, and files submitted to the platform, and that such content does not infringe any third-party copyrights, trademarks, database rights, or other intellectual-property rights.


The Contributor further acknowledges that eManualOnline acts solely as a hosting, delivery, and e-commerce service provider under 17 U.S.C. § 512(c), and does not review, edit, curate, or approve uploaded content prior to publication.


By uploading any file, metadata, or related material to the Website, You represent, warrant, and agree that You:

  • Own all necessary rights, licenses, and permissions to upload and sell the content
  • Are solely responsible for the legality, accuracy, and quality of your uploads
  • Grant eManualOnline a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to:
    • host, store, reproduce, display, transmit, and deliver the content
    • advertise, promote, and market the content
    • process payments and fulfil orders on your behalf

You further agree:

  • You, the Contributor, agree to defend, indemnify, and hold harmless eManualOnline, its parent company, subsidiaries, officers, employees, and agents from and against any losses, claims, demands, damages, liabilities, penalties, settlements, and legal fees arising out of or relating to:

    1. The Contributor’s uploaded content

    2. Alleged or actual intellectual-property infringement

    3. Misrepresentation of ownership or licensing rights

    4. Failure to comply with applicable laws, including copyright legislation

     This indemnity survives termination of the Contributor’s account and any removal of uploaded content.

  • You will not upload infringing, stolen, or unlawfully obtained materials
  • You will maintain backup copies of all uploads (eManualOnline is not a storage service)
  • eManualOnline may remove, suspend, or disable listings at any time
  • Payouts may be withheld for fraud, copyright claims, or policy violations

Commission rates, payout schedules, and minimum withdrawal thresholds are published on the Website and may change at any time.


eManualOnline is not the employer, agent, or partner of any Seller.


Platform Fees & Neutrality


The Contributor acknowledges that all service fees retained by eManualOnline represent payment for platform access, hosting, payment processing, storage, delivery infrastructure, and customer support.


Fees are applied uniformly and are not based on the nature, originality, or copyright status of any specific manual or file.


No portion of marketplace fees constitutes royalties or revenue participation in any underlying content.


5. Prohibited Conduct


You agree NOT to:

  • upload content that infringes copyright or any third-party rights
  • upload malware, corrupted files, or executable code
  • engage in scraping, automated harvesting, or high-volume downloading
  • impersonate another person or misrepresent your affiliation
  • interfere with platform security, servers, or payment systems
  • upload adult, illegal, defamatory, hateful, or criminal material
  • attempt to bypass purchase or download restrictions
  • use the platform for bulk exporting, torrents, or redistribution hubs

Any breach may result in immediate permanent account termination without refund.


6. Intellectual Property, Copyright & DMCA Safe Harbor


All intellectual property rights in User Content remain with the original Seller.


eManualOnline claims no ownership over User Content and acts solely as an OSP under 17 U.S.C. § 512.


We comply with the U.S. Digital Millennium Copyright Act (DMCA).


Copyright owners may submit takedown notices to our Designated Agent.


Upon receiving a valid notice:

  • Access to the content will be removed or blocked
  • We may suspend or terminate repeat infringers
  • Counter-notices may be filed where permitted by law

The Contributor agrees to fully cooperate with eManualOnline in connection with any copyright complaint, DMCA notice, or investigation relating to their uploaded content, including providing proof of rights ownership upon request.


Failure to cooperate may result in suspension of payouts, account termination, and/or removal of all submitted content.

7. Disclaimer of Warranties


The Website, Services, and all User Content are provided “as is” and “as available” without any warranty of any kind, whether express or implied.


We do not guarantee:

  • accuracy, completeness, or reliability of User Content
  • that files are free from defects, omissions, or formatting issues
  • uninterrupted platform uptime or continued download availability
  • fitness for a particular purpose
  • that any User Content will meet your needs or expectations

All risk relating to use of digital content is solely yours.


8. Limitation of Liability


To the fullest extent permitted by law, eManualOnline and its officers, employees, and agents shall not be liable for:

  • lost revenue, profits, or business
  • data loss, corruption, or file inaccessibility
  • indirect, incidental, punitive, or consequential damages
  • claims arising from the use of or inability to use the Services

Our maximum aggregate liability shall not exceed the total amount You paid in the 12 months preceding the claim.


Some jurisdictions do not allow liability exclusions; in such cases, liability is limited to the minimum amount permitted by law.


9. Termination & Account Suspension


We may, at any time and without notice:

  • suspend or terminate accounts
  • remove or disable access to User Content
  • block IP addresses, devices, emails, and payment methods
  • withhold or cancel payouts to Sellers under investigation
  • refuse service to any User for any reason

You may close your account at any time, but:

  • No refunds are issued for prior purchases
  • Seller payouts pending review may be delayed or forfeited
  • All indemnity and legal clauses survive termination

10. Governing Law


This Agreement shall be governed exclusively by the laws of the State of Delaware, USA, without regard to conflict of law principles.


Any disputes, claims, or controversies arising out of or relating to this Agreement, the Services, or any digital product purchased through the Website shall be resolved exclusively under the arbitration terms below.


11. Binding Arbitration Agreement


You and eManualOnline agree that any dispute, claim, or controversy arising out of or relating to:

  • use of the Website or Services
  • purchase, sale, or access to any digital content
  • payouts, refunds, or chargebacks
  • copyright or intellectual property issues (except DMCA takedowns)
  • interpretation or enforcement of this Agreement

shall be resolved solely by binding arbitration, administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules.

  • You waive the right to bring claims in court.
  • You waive the right to a jury trial.

Location & Language


Arbitration shall take place in Delaware, USA, in English, unless mutually agreed otherwise.


Costs


Each party shall bear its own legal fees. Arbitration filing fees will be split unless the arbitrator decides otherwise.


Exceptions


We may pursue:

  • DMCA subpoenas
  • IP enforcement actions
  • Fraud, chargeback abuse, or payment recovery actions

in any court of competent jurisdiction.


12. Class Action Waiver


To the fullest extent permitted by law:

  • You agree that any arbitration or legal proceeding shall be conducted ONLY on an individual basis.
  • You waive the right to participate in or bring a class action, mass action, or representative action.
  • You waive the right to act as a class representative or class member.

If any part of this clause is deemed unenforceable, the arbitration provision shall survive, but any class claim must be brought in a court located in Delaware.


13. Refund Policy & Instant Download Waiver


Due to the nature of digital goods, all purchases are final once access to the file has been delivered, accessed or downloaded.


Refunds are handled in accordance with our Refunds Policy, available through the Website.


Instant Download Consumer Rights Waiver


By completing checkout and clicking “Download Now”, You acknowledge and agree that:

  • You are receiving immediate digital access
  • You waive EU/UK “cooling-off” cancellation rights under consumer law
  • You lose the right to refund once file delivery has begun

14. Assignment


You may not assign or transfer your rights or obligations under this Agreement.


We may assign this Agreement without notice, including to a successor entity in the event of sale, merger, or restructuring.


15. Severability


If any provision of this Agreement is found unenforceable, the remaining Terms shall remain in full force.


Any unenforceable clause shall be replaced with the closest lawful equivalent.

17. Giveaway & Promotional Terms


Eligibility, entry rules, prize details, time limits, and winner selection criteria are listed within each individual promotion.


Key terms:

  • No purchase required unless expressly stated
  • Winners may be announced publicly by first name + region
  • Currency conversion fees are non-refundable
  • Prizes are non-transferable and non-exchangeable
  • We reserve the right to modify or cancel a promotion at any time

Giveaways are not sponsored or endorsed by Apple, Facebook, Instagram, or any third party, unless expressly stated.


18. SMS/Text Messaging Program


The eManualOnline mobile message service (the “Service”) is operated by eManualOnline (“eManualOnline”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.


By consenting to eManualOnline’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of eManualOnline through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).


You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with eManualOnline. Your participation in this program is completely voluntary.


We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.


You may opt-out of the Service at any time. Reply STOP to any text message, or click the unsubscribe link (where available), to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other eManualOnline mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.


For Service support or assistance, reply HELP to any text message or email support@emanualonline.com.


We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.


The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.


To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

19. Entire Agreement


These Terms constitute the complete and exclusive agreement between You and eManualOnline, superseding all prior agreements, discussions, or understandings.


No oral or written advice from staff modifies this Agreement.
